The purpose of this document is to set out the terms & conditions (Terms) under which advice, goods and deliveries (Goods) are made by Auswide Retail Group Pty Ltd and its trading entities (AWRG), and you agree to the terms & conditions when excepting service and product from AWRG as set out below. The Terms and Conditions include our legal disclaimer, our privacy policy, and any other terms and conditions in doing business with AWRG and its trading entities.

We may change the Terms of Use at our discretion and without notice. A version of the current Terms of Use will always be available on this website.

1. Governing Law and Jurisdiction

These Terms & Conditions are governed by and construed in accordance with the laws of Victoria, Australia and you irrevocably and unconditionally submit to the non-exclusive jurisdiction of the courts of Victoria, Australia. If any provision of these Terms is found to be invalid or unenforceable by a court of law, such invalidity or unenforceability will not affect the remainder of these Terms, which will continue in full force and effect. If you access this website in a jurisdiction other than Victoria, Australia, you are responsible for compliance with the laws of that jurisdiction, to the extent that they apply.

2. General

These Terms may be amended at any time without notice including your access to this website may be terminated at any time without notice. Your continued use of this website following such amendment of these Terms will represent an supply, service promotion or delivery of goods by you to be bound by the Terms as amended. Where your access to this website is terminated, all disclaimers and limitations of liability set out in these Terms will survive.

The supply of Goods will form an supply, service promotion or delivery of goods between the parties when Customer directs AWRG to supply Goods whether orally, in writing (including email), online web order or otherwise.

A Customer may request additional information and a quote for the supply of Goods. A quote or indication of a price issued by AWRG is an invitation to treat, not a contractual offer.

3. Customer obligations

The Customer will cooperate reasonably and in good faith with AWRG to enable AWRG to fulfil its obligation in the supply of Goods to the Customer. The Customer agrees without limitation to:

  • perform in a timely manner any tasks reasonably necessary to enable AWRG to supply Goods;
  • inform AWRG of all matters necessary for it to supply Goods;
  • provide AWRG with directions or instructions at AWRG’s request;
  • accurately describe the site conditions and unloading capability at the point of Goods delivery. Inaccurate information may lead to additional freight costs being charged to accommodate the need for residential, tailgate deliveries and other costs.
  • provide the necessary equipment to allow delivery, this includes forklifts where required;
  • deliver any Customer Goods and other Customer obligations that the parties agree to in writing from time to time; and
  • respond in a timely manner to AWRG’s inquiries related to the delivery of Goods.

4. Orders

The Customer may place orders for goods and each order submitted by Customer, shall constitute an offer to purchase the goods in the order. An order may be placed by the customer either in writing, via our website, through acceptance of a supplied quote or verbally.

AWRG may accept the offer contained within the order by delivering the Goods in accordance with the Order. AWRG may refuse to accept the offer contained in the Order in whole or part without ascribing any reason and without any liability.

The Customer will not normally be charged if AWRG rejects a purchase order. If Customer is charged and AWRG rejects an order, AWRG will refund the amount charged. If a refund or credit is granted, AWRG can take up to 7 working days to issue the credit or refund.

5. Information and errors

There may be technical or administrative errors in a quote, website or any other informational materials provided by AWRG to the Customer, including but not limited to errors with respect to photos, colour, product description, pricing and availability. Where Customer makes an order or payment based on erroneous information, AWRG may, with notice to Customer, cancel the order and refund any payment made in respect of it.

6. Price

Prices shown are in Australian dollars and include GST where applicable. Prices may not include delivery and handling charges. Prices are subject to change without notice. Each published saving in respect of a product is by reference to the lower of the recommended retail price of the manufacturer or the normal ticketed price of AWRG.

Images of products shown without any advertised price beside that image are not offered for sale. Unless otherwise stated, any accessories shown in any image of products are not included in the price.

AWRG reserves the right to correct any errors published on its website.

7. Changes to Order by Customer

The customer acknowledges that a change in the order at its direction may result in a change in fees and charges payable to AWRG, and in the delivery timetable. 

8. Ownership of Goods

Title of all Goods shall remain with AWRG until Customer makes full payment to AWRG for the goods, delivery charges and all other associated costs agreed to, which constitutes the order. Payment will be deemed to have been made when AWRG has received cleared funds in its bank account.

The Customer is responsible for the testing of Goods on receipt. If Customer does not notify AWRG in writing of any deficiency in the Goods within 7 days following delivery, then Customer will be deemed to have accepted such Goods. If Customer, acting reasonably, finds the Goods to be faulty, is to notify AWRG or the manufacturer/distributor and remedy is made under warranty terms as set out by the manufacturer/distributor. AWRG will act to assist the Customer with the best endeavours to resolve any issue with the Manufacturer/Distributor of the goods.

Small deviations from the scope of an order will not entitle the Customer to reject Goods. However, if any such fault is caused by Customer’s direction to change the Goods, the rectification shall be at Customer’s expense.

Nothing in this clause affects Customer’s rights for any alleged failure of a guarantee under the Australian Consumer Law. If Customer requires AWRG to do additional work outside the scope of agreed Goods AWRG may charge Customer for the out-of-scope work in addition to the Goods.

If AWRG determines at its sole and absolute discretion that the requirement for any out-of-scope work is caused by the fault or error of AWRG, Customer shall not pay for that additional work.

9. Cancellation

Orders can only be cancelled prior to dispatch. Dispatch is considered to have occurred as soon as a shipment has been lodged with a courier. An order is only considered cancelled once the Customer has lodged the cancellation in writing and confirmed by AWRG. This must occur prior to dispatch.

In respect of an order in which AWRG must source the Goods from a third-party supplier, the Customer agrees to pay any freight costs and order restocking fees incurred by AWRG.

Other than set out explicitly in the Supply, service promotion or delivery of goods, all orders by the Customer for the Goods are non-refundable.

For a custom build (including but not limited to generators, custom farm implement attachments) cancellations cannot be accepted once construction has been commissioned.

10. Delivery

Any timeframe given by AWRG in respect of the delivery of the Goods is indicative only, and not binding on AWRG. Products may not be available for immediate delivery.

AWRG will use its best endeavours to deliver Goods to the Site at the time agreed between the parties. AWRG does not provide any guarantees to the timeliness of deliveries as they are entirely controlled by third-party couriers. All deliveries are made in good faith and within the capabilities of the courier systems and processes.

Delivery of Goods will be deemed to have taken place when goods are delivered or when delivery has been attempted and goods have been returned to the courier's depot waiting for customer collection. Costs associated with re-delivery are the responsibility of the Consumer.

Delivery will be deemed to have taken place even if a Customer refuses delivery or Returns Items to Sender.

AWRG reserves the right not to deliver certain Goods if the suppliers of the Goods to AWRG fail to procure the Goods. The customer will not be liable to pay for undelivered Goods and will be entitled to a refund for amounts paid in respect of those undelivered Goods.

11. Pickup Orders

A Customer may collect goods from the AWRG warehouse, a representative of the AWRG will contact you by telephone or email to notify you when the Order is available for collection.

For orders that are not collected within 14 days, AWRG reserves the right to allocate those goods to another customer and reorder the goods for the Customer.

When picking up Goods, the Customer is required to supply a copy of the order, photo ID and credit card used to make the purchase.

12. Warranty

Refunds are not normally provided where the Customer has a change of mind, made a wrong selection or simply found the item cheaper elsewhere. Any refund provided will be subject to:

  • Returned goods are in an as-new saleable condition
  • in the original undamaged packaging
  • incur a 25% restocking fee
  • returned to AWRG at the customer's expense
  • any freight costs is not refundable and is at the Customers expense

AWRG sources products through local (Australian) manufacturers or distributors and the customer is to work to resolve a claim directly with the manufacturer or distributor. The AWRG will supply the Customer with the necessary contact details.

The period from which the warranty period commences from the time of delivery.

AWRG does not make any further representation or warranties beyond that provided by the manufacturer or distributor.

All Warranty is a return to the place of purchase at the Customers expense.

A warranty will not apply if the goods are rendered faulty by a factor other than a defect in materials and workmanship. Such factors include but are not limited to:

  • damage through misuse (including failure to maintain, service or use with proper care), neglect, accident or ordinary wear and tear (including deterioration of parts and accessories and glass breakage); and
  • use for a purpose for which the product was not sold or designed.

A Warranty does not apply to consumables such as batteries, chemicals, filters and globes. Consumers' rights under ACL are not limited or excluded.

A Warranty does not cover parts designed to wear, including but not limited to, blades, cutting teeth, cutting discs, pump seals, pump vanes or gears, filter baskets & elements, pulleys, clutches, chains, drive belts, bearings, brake shoes and pads. Consumers' rights under ACL are not limited or excluded.

Except as expressly provided in the Supply, service promotion or delivery of goods, AWG makes no warranties or guarantees that:

  • the Goods will last a lifetime;
  • that there will not be any variations in colour in the Goods; and
  • that deterioration of serviceable components will not occur over time.

The goods we retail come with guarantees that cannot be excluded under the Australian Consumer Law.

13. Warranty Exclusions

Unless otherwise agreed in writing, AWRG has no liability for, and is not required to provide Warranty Services under this Warranty if it relates to:

  • Warranty services outside of Business Hours,
  • Misusing or abusing the product or any of the accessories included within the kit,
  • Operating the product in a manner that is not in accordance with the Instruction Manual supplied with the product,
  • Using incorrect batteries or charges,
  • Using any unauthorised, non-genuine or non-standard parts in connection with the Product,
  • Using the product with knowledge of or evidence of partial failure or a fault,
  • Tampering with the product in any way otherwise stated in the Instruction Manual,
  • Making mechanical adjustments inconsistent with the Instruction Manual,
  • Not having taken reasonable steps to prevent damage or failure from occurring to the product,
  • Storing the product inconsistently to the instructions provided in the Instruction Manual,
  • Neglecting or otherwise failing to maintain the product in accordance with the instructions in the Instruction Manual,
  • Repairing or carrying out work on the product by any person other than a person or organization authorized by AWRG

IN ADDITION TO THE ABOVE, THIS WARRANTY DOES NOT COVER THE FOLLOWING:

  • Accidental damage or damage caused by Force Majeure Events including:
  • environmental factors,
  • natural discolouration of material due to ultraviolet light,
  • crushing, impact with hard surfaces or damage caused in the transit of the product or to any parts,
  • damage caused by excessive heat or cold,
  • damaged caused by solvents, or water entry into the product,
  • damaged caused by contact with sand, rust, corrosion, fire, vermin and insect infestation, power outages or surges or inadequate voltage or current,
  • abnormal product performance caused by any ancillary equipment interference or other external factors,
  • Damage, failure or defects that occur for reason or reasons that were already disclosed to you or ought reasonably to have been disclosed to you prior to your purchase of the product,
  • Normal wear and tear,
  • Calibration,
  • Freight cost associated with transporting the product between you and the place of purchase,
  • Products with serial numbers that have been altered or removed,
  • Consumable items supplied with the product or that are part of the product, such as battery packs.

No changes to these conditions are to be made without the written approval of the supplier.

14. Governing Law

  • These terms will be governed by and interpreted in accordance with the laws of Victoria, Australia and you irrevocably submit to the non-exclusive jurisdiction of the Courts of Victoria, Australia. If any provision of these terms is found to be invalid or unenforceable by a court of law, such invalidity or unenforceability will not affect the remainder of this agreement, which will continue in full force and effect.
  • If you access the website in a jurisdiction other than Victoria, Australia, you are responsible for compliance with the laws of that jurisdiction, to the extent that they apply. AWRG makes no representations that the content of the website complies with the laws of any country outside Australia.

15. Disclaimer and Indemnity

AWRG, limits liability to the extent permitted by law, to Customer for the Goods, including liabilities caused by:

  • any act or omission of the AWRG, its personnel or any related body corporate under or in relation to the supply, service promotion or delivery of goods;
  • AWRG’s breach of the supply, service promotion or delivery of goods;
  • the termination of the supply, service promotion or delivery of goods;
  • the Customer’s failure to fulfil its obligations under the supply, service promotion or delivery of goods;
  • Any bugs, viruses, trojan horses or other harmful code or communications which may be transmitted to or through the website by any third party; and/or
  • The quality or fitness for any purpose of any linked sites.
  • any delay in the provision of the supply, service promotion or delivery of goods;
  • any unauthorised activity in relation to the supply, service promotion or delivery of goods;
  • the Customer’s use of or reliance on the Goods for a purpose other than the business purposes of the Customer or the reasonably expected purpose of the Goods;
  • any personal injury or death arising directly or indirectly in connection with the supply, service promotion or delivery of goods;
  • any loss or damage to property arising directly or indirectly in connection with the supply, service promotion or delivery of goods;
  • failure of any third-party component including, without limitation, equipment, materials, tools or power failure;
  • the Customer’s failure to observe proper safety measures and procedures;
  • the delivery, setup and installation of Goods;
  • the use, or breakdown of, Equipment;
  • any harm to or claim by a third party in connection with the Goods;
  • failure of any third-party component including, without limitation, software failure, hardware failure, network failure, or power failure;
  • the Deliverables being inaccessible to that Customer for any reason;
  • computer virus, trojan and other malware in connection with the supply, service promotion or delivery of goods;
  • failure of any third-party software including, without limitation, the operating system and any other software;
  • reliance on the AWRG’s advice;
  • the Customer or its personnel’s failure to follow the AWRG’s advice or instructions;
  • the Customer’s failure to provide sufficient access or accurate information for the AWRG to provide the Goods;
  • the infringement or claimed infringement of the Intellectual Property Rights or Moral Rights of any person in connection with the Supply, service promotion or delivery of goods; and
  • any party’s failure to fulfil any formalities necessary to give full effect to an assignment of Intellectual Property Rights.
  • the Customer will at all times indemnify, and keep indemnified, AWRG, including their directors, officers, employees and agents from and against any loss (including reasonable legal costs and expenses on a full indemnity basis) or liability incurred or suffered by you or by any of them arising from any claim, demand, suit, action or proceeding by any person against you or them where such loss or liability arose out of, in connection with or in respect of your conduct or breach of these terms.

16. General indemnity

The customer indemnifies AWRG directors, employees and agents (Indemnified) against all costs suffered or incurred by the Indemnified, however caused, arising wholly or partially, directly or indirectly, in connection with the Customer’s use of the supply, service promotion or delivery of goods.

17. Privacy Policy

We collect information from you when you register on our site or place an order. When ordering or registering on our site, as appropriate, you may be asked to enter your: name, e-mail address, mailing address or phone number. You may, however, visit our site anonymously.

Types of Delivery Options

TOOL NATION tries to provide the lowest cost delivery options to their customers and therefore offers several options for the Customer to select. They are:

For Items under 22 Kg, standard shipping applies for all deliveries (can be delivered by Australia Post)

For Items Over 22 Kg costs vary depending on delivery point type.

  • Business Delivery (ABN Holder) – Must be a registered business with an ABN. Detail of business name to be included in the shipping information. The delivery point must have a suitable unloading capability. This must be either a Forklift, Pallet Fork or Bucket Fork. Lifting using straps is not acceptable to the couriers.
  • Business Delivery (ABN Holder) – Must be a registered business with an ABN. Detail of business name to be included in the shipping information. If no Fork unloading capability a Tailgate Truck is required. The driver will unload the Goods off the truck.
  • Local Courier Depot Collection – If a residential delivery or tailgate delivery is too expensive the Goods can be delivered to your closest Courier depot for collection. The Depot will contact the Customer when they have arrived at the Depot and will load up the Customer's Trailer, Utility or Vehicle.
  • Residential Delivery – This is a door-to-door service. The Goods are delivered to a residential address and include a Tailgate Truck to unload the Goods from the vehicle onto the Customers property. Suitable access is required by the truck.

Pickup Orders

A Customer may collect goods from the TOOL NATION warehouse, a representative of the TOOL NATION will contact you by telephone or email to notify you when the Order is available for collection.

For orders that are not collected within 14 days, TOOL NATION reserves the right to allocate those goods to another customer and reorder the goods for the Customer.

When picking up Goods, the Customer is required to supply a copy of the order, photo ID and credit card used to make the purchase.

Return and Refund Policy

Our policy for order cancellation, warranty and returns is detailed below. All correspondence should be sent to sales@toolnation.com.au

Residential Delivery – This is a door-to-door service. The Goods are delivered to a residential address and include a Tailgate Truck to unload the Goods from the vehicle onto the Customers property. Suitable access is required by the truck.

A Warranty does not cover parts designed to wear, including but not limited to, blades, cutting teeth, cutting discs, pump seals, pump vanes or gears, filter baskets & elements, pulleys, clutches, chains, drive belts, bearings, brake shoes and pads. Consumers' rights under ACL are not limited or excluded.

Except as expressly provided in the Supply, service promotion or delivery of goods, AWG makes no warranties or guarantees that:

the Goods will last a lifetime;

that there will not be any variations in colour in the Goods; and

that deterioration of serviceable components will not occur over time.

The goods we retail come with guarantees that cannot be excluded under the Australian Consumer Law.

6. Returns

In the instance where a return is required, the purchaser is liable to return the goods to Tool Nation and is responsible for any shipping cost.
